Welcome to the ASKPIPER Project!

The ASKPIPER Project website (“Website”), downloadable application (“App”) and platform are owned and operated by GetHarper LLC (“AskPiper”), a Delaware limited liability company, where “AskPiper” includes its officers, directors, employees, contractors and staff. The Website and platform offer education, resources, services related to wellness and personal growth, and from time to time may host events for its members to interact with each other and learn from experts. It is an educational platform, online community, ecommerce site, and personal growth platform for individuals.

PLEASE READ THESE TERMS OF SERVICE (“TOS” OR “TOU”) CAREFULLY. BY REGISTERING FOR OR OTHERWISE USING THE SERVICE, YOU ACKNOWLEDGE YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, AS WELL AS OUR PRIVACY POLICY (COLLECTIVELY, THE “TERMS”). WE RESERVE THE RIGHT TO MODIFY, AMEND, OR CHANGE THE TERMS AT ANY TIME. NOTICE OF ANY MATERIAL CHANGE WILL BE POSTED ON THIS PAGE WITH AN UPDATED “LAST UPDATED” DATE AT THE TOP. YOUR CONTINUED USE OF OUR WEBSITE OR SERVICES, OR PARTICIPATING IN EVENTS CONSTITUTES YOUR ACCEPTANCE OF ANY CHANGE, AND YOU WILL BE BOUND BY SUCH UPDATED TERMS. ALL TERMS DEFINED IN THE PRIVACY POLICY HAVE THE SAME DEFINITION HEREIN.

IF YOU DO NOT AGREE TO THE TERMS, AS THEY MAY CHANGE PERIODICALLY, YOU MAY NOT USE THE WEBSITE, ATTEND ANY ASKPIPER-RELATED OR -HOSTED EVENTS, OR OBTAIN OR USE THE SERVICES.

AskPiper reserves the right to terminate this agreement or Your access to the Website, events, or services or generally cease offering memberships, at any time for any reason.

All users are referred to as “user,” “You,” and “Your”; the terms “we,” “our,” “us,” refer to AskPiper.

PURPOSE
Through the Website, users and paid members can access content such as recommendations, curated insights, answers to queries, product discoveries, bespoke information, database results and interactive tools (“Content”) and, from time to time, subscriptions to services and for products (“Subscription Services”) and in-person or virtual events (“Events”) (Knowledge, Subscription Services and Events are, collectively, the “Services” and are each, individually, a “Service”). The Content is intended to be used for informational and entertainment purposes only, and does not constitute mental health, financial and/or medical advice and is not intended to be a substitute for such advice. 

WHO CAN USE OUR SERVICE?
By using the Website and otherwise receiving Services, You represent and warrant that You:

  1. Are at least 13 years old, or older if an age over 13 is the legal age at which You can form a binding contract with a corporation, and have the legal capacity to enter into a binding contract. You may not authorize others to use Your account, nor may You create an account for a third party; You may not allow persons under the age of 13 to obtain Services via Your account; and

  2. Are not a person or entity barred from accessing the Service under the laws of any jurisdiction. 

When using the AskPiper Website and/or platform, working with any AskPiper representative, or partaking of any AskPiper Services including but not limited to bespoke services for individuals, membership, and/or participation in any online or in-person online or in-person event, You additionally represent and warrant that You are not currently incarcerated or on probation, and that You do not appear on any lists of registered sex offenders.

If You cease to meet any of these requirements, You must immediately cease using and delete Your account.

ACCOUNT REGISTRATION AND USE
In order to use the Website or participate in any events, You may be required to provide true and complete information about Yourself including Your name, email address, and other personal and payment information. You agree that any registration information You give to AskPiper will always be accurate, correct, and up to date. You shall only be allowed to provide Your own personal information and not the information of others. You acknowledge and agree that AskPiper may, but shall not be obligated to, conduct background checks (including criminal and credit checks) and identification verification when You interview for private membership, become a member, create a user account, or at any time that You are a user or member of the Website or other services provided by AskPiper.

You agree that You will:

  1. comply with these Terms;

  2. comply with all applicable laws, including without limitation, intellectual property laws, anti-spam laws, regulatory requirements, and privacy laws;

  3. take reasonable measures to protect Your information;

  4. treat others with whom You interact on the Website or at events with respect; 

  5. be respectful when communicating with our customer service representatives and employees;

  6. Sign out from Your account at the end of each session; 

  7. Not share Your login information with any third party or save it to any publicly accessible computer; and

  8. Use Your account in violation of any US export or import laws.

You agree that You will not:

  1. use our Website or Services in a way that damages the Website, or the reputation of AskPiper, or any of its affiliates and partners;

  2. misrepresent Your identity, age, or other information given to AskPiper or any other users;

  3. use our Website or Services in an illegal, harmful, or inappropriate way;

  4. harass, stalk, intimidate, assault, harm, threaten or otherwise mistreat any other users, and AskPiper’s founders, directors, employees, members, managers, and affiliates;

  5. upload, post, or otherwise share any information which is likely to be deemed offensive, harassing or upsetting, pornographic or obscene, abusive or threatening, or otherwise encourages any illegal or illicit activity;

  6. use another’s account information;

  7. modify, adapt, sublicense, reverse engineer, decipher, decompile or otherwise disassemble any portion of our Website or encourage others to do so;

  8. use any images or text on the Website that was created by any individual other than You for any commercial, promotional or unauthorized purposes unless consent is explicitly provided on and within the Services; 

  9. link to any third party content, app or website that You know has viruses or malicious code; 

  10. create an Account if You have previously been banned from using any AskPiper services including the Services; 

  11. upload any viruses or malicious code to the Website; and

  12. encourage, promote or engage in any activity in violation of these Terms.

You will be deemed to be authorized to access and use the Website and platform in a manner consistent with this Agreement each time You login to the Website, use its services, attend any ASKPIPER online or in-person event, and/or meet any other recipient of AskPiper Services including but not limited to those attending and/or at any online or in-person event. AskPiper shall have no obligation to investigate the authorization or source of any access or use of the Website. YOU WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF THE WEBSITE BY ANYONE USING YOUR LOGIN INFORMATION, WHETHER OR NOT SUCH ACCESS IS ACTUALLY AUTHORIZED BY YOU, INCLUDING WITHOUT LIMITATION, ALL COMMUNICATIONS, TRANSMISSIONS, AND OBLIGATIONS (INCLUDING FINANCIAL OBLIGATIONS) INCURRED THROUGH SUCH ACCESS. You are solely responsible for protecting the security and confidentiality of Your account and shall immediately notify AskPiper of unauthorized use.

USER GENERATED CONTENT
From time to time, AskPiper, third party social media platforms and other content hosts may permit You to submit, upload, or otherwise publish text, audio, and/or visual content, which may be visible to other users and will be visible and/or accessible by the ASKPIPER team and our partners (“User Generated Content”) and AskPiper may, from time to time and in its sole discretion, permit You to view the User Generated Content of other users.

You own the User Generated Content that You submit or post to any ASKPIPER.ai email address, or where you tag AskPiper, and You grant AskPiper a non-exclusive, perpetual, irrevocable, worldwide, transferable and sub-licensable license and right to use, copy, modify, distribute, publish, share, create derivative works from, include in registrations relating to the Services, and process information and User Generated Content You provide, without any further consent, notice and/or compensation to You or others (the “Submissions License”). AskPiper does not claim ownership or authorship of any User Generated Content. Without limiting the scope of the Submissions License or any present or future grant of rights, consents, agreements, assignments, and waivers You have made or may make with respect to Submissions, and to the extent allowed by applicable law, You hereby ratify any prior grant of rights, consents, agreements, assignments and waivers made by You with respect to Submissions submitted by You.

You agree, represent, and warrant that, in addition to complying with other provisions of these Terms, Your User Generated Content: (a) does not violate any law; (b) does not violate or infringe upon the copyrights, patents, trademarks, service marks, trade secrets, or other proprietary rights of any person or entity; (c) is not defamatory, abusive, harassing, threatening, and/or impersonating, to or of any other person or entity; (d) is not libelous, threatening, defamatory, obscene, pornographic, hateful, or could give rise to any civil or criminal liability under U.S. or international law; and (e) does not include any bugs, viruses, worms, trap doors, Trojan horses, or other harmful code or properties.

Submissions and opinions that are User Generated Content are those of the individuals or entities expressing such submissions or opinions, and do not reflect AskPiper’s opinions. AskPiper does not represent or endorse the accuracy or reliability of any advice, opinion, statement, Content, Submission, or other information or materials displayed, uploaded, or distributed through our digital services by any third party and You are responsible to verify this on Your own. AskPiper is not responsible, and expressly disclaims any liability for User Generated Content or Your use or reliance on upon User Generated Content. If You believe that a user has violated the terms of these TOU, it is not Your responsibility to call them out on it publicly; instead, please contact AskPiper. AskPiper shall have the sole right (but not the obligation) and sole discretion to delete, refuse and/or move any Submission and/or block access by the public to any Submission that violates the TOU or is otherwise deemed objectionable for any reason in AskPiper’s sole discretion, while maintaining copies of said Submission for archival and legal purposes. Although we try to maintain a safe environment on our social media platforms and the Services, including any services performed through or on digital platforms, third party platforms or other digital services, we are not responsible for the posts of any user and disclaim any and all liability for such posts. You acknowledge that we are not obligated to pre-screen user submissions (including Your Submission) and may not review user submissions (including Your Submissions) for purposes of compliance with the TOU or any other policy or otherwise. Furthermore, AskPiper shall be under no obligation to: (1) maintain in confidence any of Your Submissions that are shared publicly by You; (2) pay to users, including You, any compensation for any Submissions; or (3) respond to any user Submissions.

Your interactions with other individuals and third-parties found on or through the Website are solely between You and such individuals and other third-parties. AskPiper expressly disclaims any liability for such individuals and third-parties.

If You believe that any content on the Website infringes copyrights You own, please provide AskPiper written notice in accordance with the Notice for Claims of Copyright Violations provision below.

 

PAYMENTS AND FEES
You agree to pay any and all fees related to obtaining Services and attending events. To the extent applicable, annual, monthly, per hour, or per online or in-person event payments and other payment plans will be billed in advance and/or charged via payment method You indicated when You signed up for our Services. You authorize us to arrange withdrawal of funds on this card on each payment due date without further notification. You are responsible for ensuring Your payment information is always complete and accurate. In the online or in-person event payment cannot be processed, You may lose Your ability to access the Website and obtain Services.

 

INTELLECTUAL PROPERTY
All graphics, images, videos, icons, text, worksheets, quizzes, trademarks (including all brand names related to AskPiper), service marks, logos, and all other content on the Website are the property of AskPiper, or AskPiper has obtained the right to use any content that is owned by a third party, such as its affiliates, including but not limited to its Subprocessors, who are defined as any entity requested and/or retained by AskPiper to process any Personal Data on behalf of AskPiper and/or its affiliates, where the term as used herein is equivalent to the term “Processor” as used in the GDPR, and the term “Service Provider” as used in the CCPA, with all rights reserved by AskPiper. ASKPIPER, PIPER and the logos thereof are trademarks of GetHarper LLC. The use of any AskPiper trademarks, service marks or other intellectual property without express written consent is strictly prohibited except as permitted by law. You may not use any of AskPiper’s trademarks, service marks, or other intellectual property in connection with any product or service that is in any way likely to cause confusion or harm to AskPiper or AskPiper, and You agree that You will not attack or challenge AskPiper’s ownership or use of its trademarks, patents or copyrights, if any. 

 

NOTICE FOR CLAIMS OF COPYRIGHT VIOLATIONS
The Website has a registered agent via DMCA Designated Agent Directory. If You believe that any content posted on our Website constitutes copyright infringement under US copyright law of any of Your intellectual property, You should provide us with a written notice that sets forth the infringement details. To be effective, the notice must contain the following information:

  1. a description of the copyrighted work You believe has been infringed;

  2. a description of the material You claim is infringing the copyrighted work and a detailed description of where it is located on our Publishing Platforms;

  3. Your address, telephone number, and email address;

  4. a written statement by You that You have a good faith belief that the disputed use is not authorized by You, the copyright owner;

  5. a statement by You, made under penalty of perjury, that the above information in Your notice is accurate and that You are the copyright owner or authorized to act on the copyright owner’s behalf; and

  6. an electronic or physical signature from You or the person authorized to act on behalf of the owner of the copyright owner.

DISCLAIMER OF WARRANTY; LIMITATION OF LIABILITY
The Website disclaims any responsibility for the accuracy of the content of the Website. By accessing and using the Website, and participating in any programs, resources, or events, You acknowledge that AskPiper is only providing information, and AskPiper cannot and does not make any guarantee regarding the outcome of its services, events, programs, resources, or retreats. By participating in any personal development and/or wellness sessions, or obtaining any of the Services, You acknowledge that the information provided does not constitute nor is a substitute for professional advice. This disclaimer of liability also applies to any damages or injury caused by any failure of performance, negligence, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortious behavior, negligence, or under any other cause of action.

As with all digital platforms and the Internet at large, we cannot control and are not responsible for how others use Your User Generated Content. We will never ask You to provide us with Your username and password except through our app and Website when you are using them to access/use our Services, and You should not share such information with others. If You believe that someone has gained access to Your account without Your permission, please contact us immediately so that we can investigate and, if we determine it is necessary, lock or freeze your account.

You understand and agree that You are solely responsible for Your own choices and should take all reasonable precautions. If You choose to visit another website via a link from the AskPiper Services, that is Your decision, and You agree to be bound by that site’s Terms, Conditions, Warranties and Privacy Policy in connection with any access of such content and/or purchase. 

You understand and agree that AskPiper has no control over the actions, inactions, or commitment of any party involved, including You and other participants in and/or users of the Services. You understand and agree Your experience using AskPiper depends in large part on Your own actions, search queries, responses, inputs and personal direction during and related to Your use of the Website and Services. Therefore, You understand and agree that AskPiper provides no guarantee, representation, warranty, express or implied, about the suitability, success, or outcome of Your use and experience, or any recommendations hereon. 

ASKPIPER IS NOT AUTHORIZED BY ANY PROFESSIONAL LICENSURE TO PROVIDE SERVICES OR INFORMATION. 

SAFETY AND REPORTING
You understand that AskPiper may, but has no obligation to conduct criminal background or identity verification checks on or regarding any online or in-person event, class or event attendee. Consequently, AskPiper does not warrant or guarantee the accuracy, conduct, identity, or veracity of any of its users or members. AskPiper is not responsible for any actions of any individuals as a consequence of their use of the Website or participation at any events, classes or in-person experiences. You are solely responsible for maintaining Your safety, and You must use Your best judgment when interacting with others at all times when using the Website, obtaining Services, or otherwise interacting with other users and members.

Though we have no obligation to monitor disputes between users, if You experience or observe any abuse or inappropriate behavior by another member or offensive content on the Website, please report it to us by sending a detailed email to support@ASKPIPER.ai.

Our Digital Services may be subject to limitations, delays, delivery or technical failures, and other problems inherent in the use of the Internet, electronic communications or otherwise. We have reasonable and appropriate administrative, technical, and physical security measures to help protect Your Personal Data (as defined herein) against unauthorized access, destruction or alteration. However, no method of transmission over the Internet, and no method of storing electronic information, can be 100% secure. Accordingly, we cannot guarantee the security of Your transmissions to us and of the Personal Data that we store. You acknowledge that there are data security and privacy limitations inherent to the Internet, and that the security, integrity, and privacy of any and all information exchanged between You and AskPiper may be impacted therein. AskPiper is not responsible for any delays, delivery or technical failures, or other problems, including for economic damages or losses, actual or anticipated, foreseeable or unforeseeable, direct or indirect, resulting therefrom. You acknowledge that access to the Digital Service may involve third party fees (such as Internet service provider, mobile data fees or airtime charges). You are responsible for applicable fees, including those fees associated with the display or delivery of advertisements, promotional material and/or third party content, if applicable. In addition, You must provide and are responsible for obtaining and/or maintaining all equipment necessary to access our Digital Services in any medium or via any system or connection.


THIRD PARTIES
AskPiper may recommend, suggest, link to and/or endorse the products and services of third parties. Reliance on that information, whether through an AskPiper app, on the Website, and/or through AskPiper’s employees, partners, or affiliates, including via or with information found on any app or plug-in created, used, distributed and/or recommended by AskPiper, is solely at Your own risk. Any services or offerings from any third parties including shopping sites, merchants, retailers and/or manufacturers linked to by AskPiper are governed by their respective terms, policies, rules and/or procedures. The AskPiper Services may also contain advertisements, marketing data and code, user identifying procesures and promotions offered by third parties which incorporate and/or use links to other websites, apps, data, content or resources. We may also provide and/or have non-commercial links or references to third parties. We are not responsible for any content, availability, lack of availability or reliability, prices and attendant taxes, shipping and handling fees or service fees from and/or of any third-party websites or resources, and You assume all risk and responsibility related to Your use of any such third-party information, data, policies, services, and products. When You click on a link to third party content, AskPiper will not warn or inform You that You have left our Services and will not warn or inform You that You are subject to the terms and conditions (including the terms of use and privacy policies) of another entity.

In addition to the foregoing, neither AskPiper nor its staff, contractors, officers, directors, affiliates and/or partners including but not limited to information providers or content partners shall be liable regardless of the cause or duration, for any errors, inaccuracies, omissions, or other defects in, or untimeliness or unauthenticity of, the information contained within the Website, or for any delay or interruption in the transmission thereof to the user, or for any claims or losses arising therefrom or occasioned thereby. None of the foregoing parties shall be liable for any third-party claims or losses of any nature, including, but not limited to, lost profits, third party fraud, damage to requested or ordered or purchased products, and/or punitive or consequential damages. Neither AskPiper nor its staff, contractors, officers, directors, affiliates and/or partners, information providers or content partners warrant or guarantee the timeliness, sequence, accuracy or completeness of this information. The maximum damages that can be awarded to any plaintiff in any action deriving from any use of the Services is the amount paid by the user in question to AskPiper


Usage Outside the United States

AskPiper is located in the United States, but we understand that some of our customers, users and people they are shopping and/or purchasing products for are citizens of or residents of other countries, including European Community countries. If You access AskPiper services from, or use AskPiper Services in, a country other than the United States, the various communications You send and receive may result in the transfer of information across international boundaries. Information collected within the European Economic Area (“EEA”) and Switzerland may, for example, be transferred to and processed by third parties identified above, located in a country outside of the EEA and Switzerland, where You may have fewer or different legal rights in relation to Your information.

We will collect and retain Your information in connection with our Services and any AskPiper Services used by You for as necessary to perform the services that You access in connection with Your AskPiper Services, and at least as long as required by operation local, state and federal laws and regulations. If You wish to unsubscribe from any of our emailed newsletters or marketing materials, please use the links on such email, but please note that You cannot unsubscribe from emails regarding appointments and scheduling, safety, subscriptions, recalls or warranties, as they are necessary for us to perform our services and business operations involving safety of our services, any products You obtain from us, and our legitimate interests. 

Please contact us if You wish to make a request or ask a question regarding Your personal information as set forth in the bullet points below; we reserve to charge a reasonable fee for requests of lists of the Personal Data we have collected about You if such request is made more than once in any 365-day time period: 

  • If You believe that any information that we have is incorrect

  • If You wish to obtain a copy of the personal information You have provided to us in a structured, commonly used and machine-readable form; we reserve the right to request and confirm proof of identity as we determine necessary in our sole discretion

  • If You are not a current or former subscriber to any services related to a AskPiper, and You wish to ask us to remove information that we have collected from or about You


California Residents – and Residents of Certain Other States

If You are a resident of California or another state that has certain laws or regulations regarding personal data and/or information, You have the following rights, subject to certain exceptions as set forth in the CCPA or similar laws, as amended from time to time:


  • Right to access personal information. You have the right to receive the specific pieces of Your personal information we have collected about You in the 12 months preceding Your request.


  • Right to data portability. You have the right to receive a copy of Your electronic personal information in a readily-usable format.


  • Right to know. You have the right to receive information from us regarding the categories of personal information we collected, the sources from which we collect personal information, the purposes for which we collected and shared personal information, the categories of any personal information we sold as well as the categories of third parties to whom such personal information was sold, and the categories of personal information that we disclosed for a business purpose in the 12 months preceding Your "right to know" request.


  • Right to request deletion. You have the right to request the deletion of the personal information that You provided to us. Please note that in certain instances we may not be able to process Your request, such as (i) due to the existence of a legal obligation, (ii) to detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities, or (iii) in order to complete a transaction for which Your personal information was collected.


  • Right to non-discrimination. You have the right to be free from discrimination by us as a result of You exercising Your rights under the CCPA.


If You are a resident of California, You may request that we provide You with the information that we have shared with third parties for electronic/online direct marketing purposes, if such sharing has occurred; such information can be provided to You once a year free of charge, and will cover information shared during the past twelve (12) months. Information will be provided within thirty (30) days of Your request, or we will inform You that we need additional time to fulfill Your request. 


If You are a California resident and wish to make such a request, please provide sufficient information for us to determine if this applies to You, attest to the fact that You are a California resident and provide a current California address for our response. You may make this request in writing to us at via Contact form. Any such request must include “California Privacy Rights Request” in the first line of the description and include Your name, street address, city, state and ZIP code. Please note that we are only required to respond to one request per customer each year, and we are not required to respond to requests made by means other than through this address.


Information shared for purposes other than direct marketing will not necessarily be included in our response to such request. We reserve the right to request and confirm proof of identity as we determine necessary in our sole discretion. Please note that we cannot delete information in connection with orders of merchandise or gift certificates, and other paid services or products, for at least seven years as we must retain it for accounting and legal purposes; we reserve the right to retain such Personal Data for accounting and business purposes.



INDEMNIFICATION
You agree to indemnify and hold harmless AskPiper LLC, its affiliates and their respective directors, officers, employees, contractors and agents from and against all claims and expenses, including attorney’s fees, arising out of Your use of the Website, programs, and events.

PURCHASES AND REFUND POLICY
You may be able to purchase items and services through our Website, platform, App and/or Services, or during events, from us or other merchant partners. If You make a purchase from us on or through our Services, You acknowledge and agree that all information obtained during Your purchase or transaction such as method of payment, credit card number, billing information, Your name, and address, may be collected by us, the merchant, and the payment processing company used therein. 

You may be asked to provide said entity with a credit card number from a card issuer, or other payment information that we accept, in order to activate and/or pay for any fees related to the Service. If we do so, we may seek pre-authorization of Your credit card or other payment information prior to a purchase to verify that the credit card or payment information is valid and/or has the necessary funds or credit available to cover Your purchase, order, fee or subscription. These pre-authorizations would reduce Your available balance by the authorization amount until it is released or reconciled with the actual charge. Please contact Your card issuer if You have additional questions regarding when an authorization amount will be removed from Your statement. 

If at any point AskPiper collects credit card billing information from You, said data will be transferred using techniques considered commonplace and “industry standard” by our processing partner(s); any data that we use, store, process or retain will be handled pursuant to our Privacy Policy and payment/credit card information will be treated as ephemeral data by AskPiper and will solely be processed and, if applicable, stored by our partner(s) in use at the time of the transaction. 

All payments must be made via Apple Pay, PayPal, Venmo or Zelle, or through our credit card processor and/or other payment services that may be added from time to time by AskPiper. Your card issuer agreement governs Your use of Your designated card, and You must refer to that agreement and not this Terms of Service to determine Your rights and liabilities as a cardholder. YOU, AND NOT ASKPIPER, ARE RESPONSIBLE FOR PAYING ANY UNAUTHORIZED AMOUNTS BILLED TO YOUR CREDIT CARD BY A THIRD PARTY. You agree to pay all fees and charges incurred in connection with Your purchases and services (including any applicable taxes) at the rates/prices/fees in effect when the charges were incurred. If we do not receive payment from Your credit card issuer or its agent, You agree to pay all amounts due upon request or demand by AskPiper or its agents. 

AskPiper and its affiliates and/or partners shall have the right to refuse or cancel any orders placed for products, subscriptions and/or Services listed at an incorrect price, where in incorrect discount has been applied, or which contain any other incorrect information or typographical errors. AskPiper and its affiliates and/or partners shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and Your credit card charged. If Your credit card has already been charged by AskPiper for a purchase and Your order is canceled, AskPiper agree to promptly issue a credit to Your credit card account in the amount of the charge or process the refund pursuant to the refund process set forth by the payment method used by the purchaser, as per its then-current policy

You release AskPiper and its affiliates and/or partners from any damages You may incur and agree to not assert any claims against us that may result from Your purchase of the products or services of any third-party, including through any class-action. 

TERMINATION
You may terminate this agreement at any time by deactivating or deleting Your user account. While AskPiper will not provide partial refunds or prorated subscription fees (unless approved by AskPiper), You will not be billed after termination.

AskPiper may, in its sole discretion, suspend Your use of the Website and/or Services, remove any of Your User Generated Content, or terminate this agreement immediately if: (i) You breach any of these Terms; (ii) You violate any applicable laws, rules, or regulations; or (iii) AskPiper reasonably believes it is necessary to do so to protect its business, or any of its users, affiliates, and partners. In addition, AskPiper may terminate this agreement at any time with or without reason.

If You are a resident or citizen of a country that utilizes the GDPR (General Data Privacy Regulation) or citizen or a resident of California or another state that manifests similar provisions for personal data, and You ask us to delete Your Account, we will or may, in our discretion, remove certain personally identifying information from our active user database, and then from our records in accordance with our data deletion cycle, except that we may retain personally identifying information where we have a valid justification to hold on to it, such as to resolve disputes or comply with our legal obligations, or to so we know not to use it again pursuant to the request.


If Your account or membership is terminated by You or us for any reason, these Terms continue and remain enforceable. Your information will be maintained and deleted in accordance with our Privacy Policy.

GOVERNING LAW, DISPUTE RESOLUTION AND ARBITRATION

  1. Dispute Resolution. AskPiper is committed to customer satisfaction. If You have a problem or dispute, we will try to resolve Your concerns. You agree to give us an opportunity to resolve any problems or disputes relating in any way to the Website or Services by providing us written notice of any such problem via email. If we are unable to resolve the problem or dispute, You may pursue claims as explained herein.

  2. Applicable Law. The laws of the State of Florida shall govern these Terms. Any dispute relating to Your use of the Website or Service shall first be submitted to mediation. In the online or in-person event the dispute cannot be resolved directly between the parties or through mediation, You agree to submit any dispute to confidential arbitration in Miami-Dade County, Florida; provided, however, that issues regarding violations of AskPiper’s intellectual property rights, AskPiper may seek relief from any state or federal court of competent jurisdiction. By using the Website and Services, You hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non-conveniences with respect to venue and jurisdiction in the state and federal courts of the State of Florida. Parties consent to jurisdiction in any court of competent jurisdiction in Miami-Dade County. 

  3. In the online or in-person event of a dispute between the parties for any cause other than non-payment by You, the User, or as set forth in Paragraph Two of this Section, and where the dispute has not been cured by the breaching party within thirty (30) days notice to the breaching party, the parties can elect to enter non-binding arbitration conducted pursuant to the Commercial Arbitration Rules then prevailing at the American Arbitration Association.

  4. The parties can jointly elect for arbitration which shall be conducted pursuant to the Commercial Arbitration Rules then prevailing at the American Arbitration Association. In the online or in-person event the dispute is entirely and completely grounded in non-payment by the User, where such non-payment was not cured within 15 days of notice from AskPiper or its designee to the User, the arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration shall be joined to an arbitration involving any other party, whether through class action proceedings or otherwise. 

  5. Intellectual Property. By using the Website and Service, You agree that AskPiper’s remedy at law for any actual or threatened breach of the intellectual property provisions herein would be inadequate. As such, AskPiper shall be entitled to specific performance, injunctive relief, or both, in addition to any damages AskPiper may be entitled to recover, along with reasonable expenses incurred by AskPiper for any form of dispute resolution, including, without limitation, reasonable attorneys’ fees. No right or remedy of AskPiper shall be exclusive of any other, whether at law or in equity, including without limitation damages, injunctive relief, attorneys’ fees and expenses. No instance of waiver by AskPiper of its rights or remedies under this Agreement shall imply any obligation to grant any similar, future, or other waiver. No act or omission by or on behalf of AskPiper is intended to be, nor should be construed as, a waiver of any of its rights, claims, causes of action, or remedies related to this Agreement.

  6. Waiver of Jury Trial. You hereby knowingly, voluntarily and intentionally waive the right to trial by jury in respect to any litigation based hereon, or arising out of, under, or in connection with this agreement, or any course of conduct, course of dealing, statements (whether verbal or written), or other actions of any party to this agreement.

MISCELLANEOUS TERMS

  1. No Class Action. You acknowledge and agree that You hereby waive the right to participate in any purported class action lawsuit, class-wide arbitration, private attorney-general action, or any other representative proceeding related to any disputes which may arise out of or relate to this agreement.

  2. To the maximum extent permitted by law, You permanently and irrevocably waive the right to bring any claim in any forum unless You provide us with written notice of the online or in-person event or facts giving rise to the claim within one (1) year of their occurrence.

  3. No Joint Venture. Nothing in this agreement shall be construed to create any joint venture, partnership, employment, or agency relationship between You and AskPiper or any of its affiliates.

  4. Severability. If any provision herein is deemed void, invalid, or unenforceable for any reason by any arbiter or court of competent jurisdiction, then such provision shall be enforced to the maximum extent possible under applicable law. All provisions herein are severable and shall not affect the validity or enforceability of the remaining provisions.

  5. If any portion, term or condition of this Agreement is held invalid or unenforceable by a court of competent final jurisdiction, that portion, term or condition shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties (or, in the worst-case alternative shall be read out of this Agreement), and the remaining portions of this Agreement shall remain in full force and effect. The delay or failure of AskPiper to exercise or enforce any right, benefit, term or condition of these TOU shall not constitute a present, future or ongoing waiver of such right, benefit, term or condition. Only a written waiver signed by AskPiper shall be deemed a valid waiver.

  6. Modification. AskPiper reserves the right to modify the Terms at any time. If modifications are made, AskPiper will post the revised Agreement on the website and update the “Last Updated” date at the top. It is Your responsibility to review these notices and any modifications. If You use (or continue to use) the Services after a change, that means You accept the new terms. 

  7. You consent to transact with us electronically and receive all legal notices, warranty notices, product recalls, and other communications electronically, by e-mail, postal mail, and/or by notices posted on or via Services. For this and other purposes, You agree to provide us with a valid, working email address and to notify us of any changes to Your e-mail address. You are responsible for maintaining either or both an Internet browser and computing equipment, or a smartphone, app and Internet access capable of accessing the Services.

  8. Entire Agreement. These Terms and other referenced policies constitute the entire agreement between You and AskPiper, govern Your use of the Services, and supersede prior agreements, written or oral, between You and AskPiper. You may not assign this agreement or any rights or obligations hereunder, in whole or in part, without prior written consent of AskPiper. Any purported assignment in contravention of this paragraph shall be null and void. This agreement does not confer any third-party beneficiary rights. Agreements with third-party providers are separate from this agreement. AskPiper’s failure to enforce any right or provision herein shall not constitute a waiver unless agreed to by AskPiper in writing.

  9. California Residents. If You are a California resident, under California Civil Code Section 1789.3, You may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, CA 95834, or by telephone at (800) 952-5210 in order to resolve a complaint regarding the Services or to receive further information regarding use of the Services.

  10. International Access. The Website and virtual events may be accessed from outside the United States and may contain products and services or references to products and services that are not available outside of the United States. Any such references do not imply that such products and services will be made available outside the United States. Users who access or use the Website and/or virtual events from outside the United States are responsible for complying with their local laws and regulations.

AskPiper encourages You to contact us with questions, comments, and other feedback. Notice and other communications from users to AskPiper should be submitted through our Contact Form or sent in writing to AskPiper at: support@ASKPIPER.ai . We ask that you not submit the same report, query or question through both the form and an email to our Support email as it will slow the processing process.
